B2B Notice: These Terms govern business-to-business (B2B) transactions only. All buyers confirm they are acting in a professional or commercial capacity. Where the Buyer is a consumer (natural person acting outside their trade or profession), applicable EU and Polish consumer protection law shall prevail over any conflicting provision herein.
These Terms and Conditions govern all sales and supply of marine spare parts and equipment by VELOX Marine. By submitting an inquiry, placing an order, or making payment, you accept these Terms in full. Please read carefully before proceeding.
1. General
- These Terms and Conditions ("Terms") govern all sales, quotations, and supply of marine spare parts and equipment by VELOX Marine ("Seller", "we", "us") to the buyer ("Buyer", "you").
- By submitting an inquiry, placing an order, or making payment, the Buyer confirms they are acting in a professional or commercial capacity and accepts these Terms in full without reservation.
- These Terms supersede any terms proposed by the Buyer. No other terms apply unless agreed in writing and signed by an authorised representative of VELOX Marine.
- The language of contract is English. Any translation is provided for convenience only and has no legal effect.
2. Orders & Confirmation
- All orders must be submitted in writing via email to [email protected] or through the inquiry form at veloxmarine.com.
- An order is confirmed only upon receipt of full prepayment. No goods will be sourced or dispatched prior to confirmed payment.
- VELOX Marine reserves the right to decline any order at its sole discretion without obligation to provide a reason.
- Part numbers, specifications, and technical details provided by the Buyer are the Buyer's sole responsibility. VELOX Marine sources goods strictly based on the information received and cannot be held liable for incorrect specifications provided by the Buyer.
- Quotations are indicative offers valid for 14 calendar days. A binding contract is formed only upon full payment confirmation by VELOX Marine.
3. Cancellation
- Orders may be cancelled by the Buyer only before VELOX Marine has placed the order with the supplier.
- Once the order has been placed with the supplier, cancellation is not possible and the prepayment is non-refundable.
- VELOX Marine will confirm supplier order placement by email. After that confirmation, the order is final.
- VELOX Marine reserves the right to cancel an order due to supplier unavailability, force majeure, or compliance issues. In such cases a full refund will be issued within 5 business days.
4. Pricing & Payment
- All prices are quoted in EUR and are valid for 14 calendar days from the date of quotation.
- 100% prepayment is required before any order is processed for B2B transactions. VELOX Marine does not extend credit.
- Payment must be made by bank transfer to the account details stated on the Proforma Invoice. The Buyer must include the invoice number as payment reference.
- VELOX Marine is not responsible for bank charges, currency conversion fees, or delays caused by the Buyer's bank or any intermediary bank.
- VELOX Marine reserves the right to adjust prices in case of significant exchange rate movements or supplier price changes after quotation issuance, with prior written notice to the Buyer.
5. Delivery & Shipping
- Delivery terms: DAP — named port or address (Incoterms 2020). Risk of loss or damage passes to the Buyer upon handover to the carrier.
- Estimated delivery times are provided in good faith and are not guaranteed. VELOX Marine is not liable for carrier delays.
- Import duties, local taxes, VAT at destination, and customs clearance are the Buyer's sole responsibility.
- VELOX Marine ships primarily within the European Union. Shipments outside the EU require prior written agreement and may be subject to additional documentation, export control, and customs requirements.
- Standard carrier: DHL Express or FedEx International Priority, unless otherwise agreed in writing.
- Goods will be shipped to the address stated on the Proforma Invoice. Any change of delivery address must be confirmed in writing before shipment.
6. Returns & Refunds
⚠ Returns are accepted within 14 days of delivery only for: (a) wrong item delivered due to VELOX Marine error, or (b) confirmed manufacturer defect. All other sales are final.
- Return requests must be submitted in writing to [email protected] within 14 days of delivery, including order number, photographs, and description of the issue.
- Items must be unused, uninstalled, in original packaging with all labels and documentation intact.
- Return shipping costs are covered by VELOX Marine if the error is ours. In all other cases, return shipping is at the Buyer's expense.
- No returns accepted for: correctly supplied items, items that have been installed or used, items without original packaging, or claims submitted after 14 days.
- Approved refunds are processed within 5 business days after receipt and inspection of returned goods.
- Damage in transit must be reported within 48 hours of delivery with photographic evidence. Claims submitted after 48 hours will not be accepted.
7. Warranty & Parts Quality
- VELOX Marine sources parts from EU-based suppliers and distributors. Where parts are sourced from authorised brand distributors, this will be indicated where applicable. Not all parts may be sourced from brand-authorised channels; in such cases parts are sourced from reputable EU-based suppliers meeting equivalent quality standards.
- Parts may be original (OEM) or quality-equivalent (aftermarket), as specified in the quotation. If not specified, Buyer should confirm preference before payment.
- Warranty is provided per the original manufacturer's terms and conditions where applicable. VELOX Marine makes no independent warranty beyond what the supplier or manufacturer provides.
- VELOX Marine will assist the Buyer with warranty claims on a best-effort basis.
- Warranty is void if parts have been incorrectly installed, modified, or used outside manufacturer specifications.
8. Limitation of Liability
- VELOX Marine's total liability for any claim shall not exceed the invoice value of the goods directly related to that claim.
- VELOX Marine is not liable for: vessel downtime, loss of charter revenue, crew costs, port costs, or any consequential, indirect, or special losses.
- VELOX Marine is not liable for delays or failures caused by carriers, customs authorities, suppliers, or force majeure events.
- These limitations apply to the maximum extent permitted by applicable law.
9. Force Majeure
- Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including: natural disasters, war, pandemic, strikes, government actions, carrier disruptions, supplier insolvency, or cyber incidents.
- The affected party must notify the other party in writing within 5 business days of the force majeure event.
- If force majeure continues for more than 30 days, either party may cancel the affected order. Any prepayment for undelivered goods will be refunded in full within 5 business days.
10. Sanctions & Export Control
- VELOX Marine complies with all applicable EU and international sanctions, export control laws, and trade restrictions.
- The Buyer represents and warrants that: (a) it is not a sanctioned person or entity, (b) the goods will not be used for prohibited purposes, and (c) the goods will not be re-exported to sanctioned countries or persons.
- VELOX Marine reserves the right to refuse or cancel any order if compliance concerns arise, without liability to the Buyer.
- The Buyer shall indemnify VELOX Marine against any losses arising from the Buyer's breach of this clause.
11. Intellectual Property
- All brand names, part numbers, and trademarks are the property of their respective owners.
- VELOX Marine is an independent trading company and is not an authorised dealer, official representative, or agent of any brand unless explicitly stated in writing.
- Use of brand names is for identification and sourcing purposes only and does not imply any affiliation, endorsement, or authorised dealer status.
12. Data Protection (GDPR)
- VELOX Marine processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Polish data protection law.
- Personal data collected (name, email, address, vessel details) is used solely for order processing, delivery, and customer communication.
- Data is not shared with third parties except as necessary to fulfil the order (e.g. carriers, suppliers).
- Data is retained for a maximum of 5 years for legal and accounting purposes, then securely deleted.
- The Buyer has the right to access, correct, or request deletion of their personal data by contacting [email protected].

13. Amendments to Terms
- VELOX Marine reserves the right to update these Terms at any time. The current version is always available at veloxmarine.com/terms.
- For B2B clients with active accounts, material changes will be notified by email with 14 days notice before taking effect.
- For existing confirmed orders, the Terms in force at the time of payment confirmation apply.
14. Severability
- If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable.
- The validity and enforceability of all other provisions shall not be affected.
15. Governing Law & Disputes
- These Terms are governed exclusively by the laws of the Republic of Poland.
- Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Poland.
- The UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
- Prior to initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
